HUNTINGTON ELECTRONIC RECORDS AND SIGNATURES DISCLOSURE AND CONSENT AGREEMENT Affirmative Consent to Use Electronic Records and Signatures In this Huntington Electronic Records and Signatures Disclosure and Consent Agreement (“Agreement”), “Huntington”, "we", "us", and "our" mean The Huntington National Bank . "You" and "your" means (i) each person or business who has an Account with us, is receiving a product or service from us, or is applying for any of the foregoing, or (ii) the authorized agent or representative entering into this Agreement on behalf of such person(s) described in (i). “Account” means each account that you hold with us, transact upon, or view, whether now or in the future. We may provide agreements, disclosures, statements, notices, documents and communications relating to your Account(s) and any other products and services ("Records") in electronic form, as further set forth in this Agreement. For Records that are required by law to be provided or made available to you in writing ("Required Records"), you must affirmatively consent to receive them electronically. Your consent will also apply to any other person named on your account, product or service, subject to applicable law. We may from time to time provide products and services to you and otherwise conduct business with you electronically through our website (currently, huntington.com), our mobile application (if available), or another electronic platform (such websites, applications, including e-signature and electronic delivery applications, and platforms, the “Platform”). By using the Platform, you agree to the terms of this Agreement and consent to conducting business with us electronically and receiving electronically any Records that are provided to you while you use the Platform or in connection with such use of the Platform. You also consent to sign documents electronically, whether through the Platform or through other electronic means. Your electronic signature has the same effect as if you were signing in ink. If you do not consent to the foregoing, you will not be able to use the Platform, and we may limit your ability to open accounts, obtain products and services, or conduct transactions through the Platform. Providing Records to you in electronic form means making them available on our Platform, from whatever location or in whatever way you access our Platform, or by sending them to you by email, fax, text message, mobile alert or in any other form of electronic communication permitted under applicable law. Scope of Your Consent Unless you and we agree to specific limitations regarding electronic delivery (as described below), you hereby consent to electronic delivery of all Records, including: •All Records relating to all of your accounts, transactions, products and services with us and/or available through our Platform, whether the account, transaction, product or service is new for you or existing, including categories of Records in connection with: •Applying for or opening an account or obtaining a product or service. •Servicing, maintenance, use, operation or closing of an account or product or service. •Performing transactions on an account or in connection with a product or service. •All other Records we are not prohibited by applicable law from providing in electronic form. You may withdraw this consent to electronic delivery at any time, as described in the following section. We may provide you with the option of consenting to the electronic delivery of a narrower subset of Records, such as Records relating to only the specific Account(s) specified by you, or only certain types or categories of Records specified by you; provided that, we are not obligated to provide you with these options and may, to the extent permitted by applicable law, require you to choose between broadly consenting to electronic delivery of all Records as described above, or declining to consent to electronic delivery of Required Records. Any specific terms regarding electronic delivery may be agreed to through the Platform, other electronic means, or any other effective means of providing consent under applicable law that we make available to you. Your consent in this Agreement supersedes any prior consent you have given us to use electronic Records. Examples of the kinds of Records we may provide electronically include, but are not limited to: account agreements, disclosures and fee schedules; rate sheets or other disclosures of interest rates; agreements and disclosures for various types of services such as bill pay services, online fund transfer services, debit card and automated teller machine services, telephone or text banking services, fund transfer services through the automated clearinghouse network or other electronic networks; overdraft protection services agreements and notices; funds availability disclosures, hold notices and other funds availability notices; privacy notices; account statements; change-in-terms notices; error resolution notices; overdraft notices; remittance transfer documents; signature cards; notices relating to any breach of data security; or taxpayer identification number certification or other tax forms. Your consent also applies to tax statements we are required to provide to you that are related to a Mortgage Loan, if applicable. "Mortgage Loan" means any consumer loan secured by a mortgage or deed of trust on real property or a dwelling. Examples of the tax statements that we may deliver to you electronically include, but are not limited to, Forms 1098, 1098-E, 1098-T, 1099-A, B, C, CAP, DIV, H, INT, G, LTC, MISC, OID, PATR, Q, R, S, SA, 5498, 5498-ESA and 5498-SA. Additional types of tax statements may be added to the electronic delivery list from time to time. Eligible statements also include Form W-2G (in most situations). The following additional provisions apply to tax statements that we make available in electronic form: •If you do not consent to receive tax statements electronically a paper copy of tax statements will be mailed to you at no cost. •Your consent to receive tax statements in electronic form covers every year or other period for which we offer tax statements electronically. •For tax statements, in addition to the procedures described in "Withdrawal of Consent", you may also withdraw your consent to receive tax statements in electronic form by mailing a written notice of withdrawal of consent to the name and address that appears on the tax statement. Withdrawal of consent to receive tax statements electronically does not withdraw consent for any other type of electronic Records. •Withdrawal of your consent to receive tax statements in electronic form for tax statements to be provided in January or February of any calendar year must be received by us no later than December 1 of the calendar year immediately before the January or February in which we provide the tax statements. •Tax statements will no longer be provided to you in electronic form and will be provided in paper form if: •we notify you that we are no longer providing tax statements to you in electronic form, •you withdraw consent to receive tax statements electronically, •we receive notice of an invalid email address, or •we receive notice for two consecutive months of non-delivery of email to your address of record. We will provide your tax statement in paper form by mail if we receive a notice of non-delivery of email in response to our email informing you that your tax statement is available. •Electronic tax statements for a given tax year will be available on or before the January 31 or February 15 due date, as applicable, and will remain available through at least the following October 15. Electronic tax statements may be available for a longer period of time. •We will provide you with an electronic message within our online Mortgage Loan website, or another location you and we have agreed to, when electronic tax statements for a given year are available. We may also or instead notify you in other ways, such as by sending you an email to alert you that electronic tax statements are available. Records will generally be delivered to you electronically through the Platform, and you will generally receive an email notification or other digital notification when a Record is available to be accessed on the Platform. Any email notification will be sent to the email address(es) that we have on record for electronic delivery purposes. While Records will generally be delivered through the Platform, we may also deliver Records to you through any other form or manner of electronic communications permitted under applicable law, including through email (including as an attachment to an email) and text messages, by providing a hyperlink in account documentation, or by providing written or electronic notice that includes a hyperlink to, or address for, a website where the Record can be viewed or downloaded. You acknowledge that certain Records to be delivered electronically will contain your personal financial information, and you consent to the delivery of such information by electronic means. Notwithstanding your consent to electronic delivery of Records, we may, in our discretion, deliver any Records to you through the postal mail, including if we have reason to believe that you are not receiving Records electronically; provided that, any delivery of Records to you through the postal mail does not alter your consent to electronic delivery of Records. We will also deliver communications to you through the postal mail to the extent required by applicable law. Withdrawal of Consent Your consent to electronic delivery of Records will remain effective until it is withdrawn by you. You may withdraw your consent: •As to Required Records relating to your current transaction, by cancelling your transaction before completing it. •As to Required Records relating to all of your accounts, transactions, products and services, by calling (800) 480-2265. Please note any withdrawal of consent to electronic delivery must be explicit, and any request to provide a paper copy of one or more Records will not by itself constitute a withdrawal of your consent to electronic delivery. Any withdrawal of your consent to electronic delivery will take effect once we have had a reasonable time to process the withdrawal, and we may continue to deliver Records electronically until the withdrawal has been processed. If you withdraw your consent to electronic delivery of Required Records, you agree that we have the right to terminate your access to the Platform, close or terminate any digital only Accounts or services; or limit digital products and services that we make available to you. Cancelling your current transaction does not withdraw your consent to electronic delivery of Required Records for other transactions, accounts, products or services. If you want to receive your Required Records in electronic format after you withdraw your consent as indicated above, you must affirmatively consent again and re-confirm your ability to receive Records in electronic format. Even if you withdraw your consent, we may continue to deliver Records to you electronically if such Records are not required to be delivered in writing under applicable law or if electronic delivery is otherwise permissible under applicable law. Obtaining Paper Copies You may obtain paper copies of Records from us by printing them yourself from the Platform or from your email account if we have emailed them to you. You may also save a copy to your computer or other electronic device and printing copies. To print or download Records, you must have a printer connected to your computer or other electronic device and have sufficient capacity on your device to store the Record. You may request paper copies from us of Records we already provided to you electronically by calling our toll-free telephone number, (800) 480-2265. We will provide you with such paper copies to the extent the Records you request are still reasonably available for us to access and send to you, and a fee may be charged for paper copies. Please consult the Personal or Business Account Charges Form or other applicable fee schedule for the exact cost. Choosing Your Preference for Account Statements and Documents Even if you consent to receive Required Records electronically, for accounts eligible to receive paperless statements, you may still choose your preference to receive account statements and other eligible Records electronically or through the mail by making the appropriate selection within the Platform. You may select or modify your delivery preference for your accounts by selecting electronic delivery for all accounts or for individual accounts. If you select electronic delivery as your delivery preference for all accounts, when you add new accounts in the future, you agree your delivery preference for new accounts will be automatically set to electronic delivery, if eligible. You can change your delivery preference at any time within the Platform. If you choose your preference to receive account statements through the mail, we may also, at our discretion, provide account statements and Records to you electronically. Changing your preference does not withdraw your consent for electronic Required Records. If you want to withdraw consent for electronic Required Records, you must follow the procedure described under "Withdrawal of Consent" above. Paperless Statements may not be available for all products and services. We reserve the right to change product and service eligibility for paperless statements and electronic Records, including Required Records, at our discretion. Updating Your Contact Information It is your responsibility to provide us with current, accurate, and complete contact information. You may update your email address and other contact information within the Platform, or you may call us toll-free at (800) 480-2265. Hardware and Software Requirements To access and retain electronic Records, you must have: •An Internet connection. •An Internet browser with at least 128-bit encryption and cookies enabled (such as Chrome, Firefox, Edge, or Safari). •An email account capable of receiving emails from us. •A program that can read and store Adobe PDF documents (such as Adobe Reader which can be obtained for free from the Adobe website). •An electronic device (such as a PC, MAC, smart phone, or tablet) and operating system (such as Windows, macOS, Linux, iOS, or Android) that supports all of the above. ![]() ![]() ECONSENT2501V6 FORM: ECONSENT |
