Change in Terms to the Huntington Online Services Agreement We have made important changes to your Huntington Online Services Agreement (the “Agreement”) effective January 2, 2026. Please see a summary of the changes below and retain a copy of this for your records. 1.Within Section I, Key terms you should know, we have revised the existing definition of Company Representative by adding the following new wording at the end of the existing definition “…All actions taken by the Company Representative will be treated as actions undertaken by you and shall be authorized to bind the business.” 2.Within Section II, Business Account Online Services Access: Company Representative If You Are A Business Entity, the entire section is deleted and replaced with the following: o“Company Representative If You Are A Business Entity •If you are a corporation, partnership, limited liability company, association, or some other form of business entity, we will issue one set of Login Credentials to a Company Representative, as designated by you (and it is recommended that this Company Representative is you). It is your responsibility to ensure that Login Credentials are provided only to persons you authorize to act on your behalf. You represent and warrant to us that Company Representative and anyone else using your Login Credentials has absolute authority from your company to give us instructions for all services which may be available through Online Services, including but not limited to account opening, applying for new or additional services, or performing transactions using our Online Services." 3.Within Section III, Moving Your Money, Bill Pay, Our Right to Determine Payment Methods, the second to last sentence is deleted from the Agreement. •Within Section III, Moving Your Money, Liability—Yours and Ours - Authorized & Unauthorized Transactions and Errors, sub-section: Business Accounts, the first bullet point under Your Liability for Business Accounts is deleted in its entirety and replaced with the following: •“You are liable for all transactions that you make or authorize, even if the person you authorize exceeds your authority. If you and/or the Company Representative shared Login Credentials with others, you must notify us immediately. You may be required to change your Login Credentials to prevent further access by individuals with whom you previously shared Login Credentials." •Within Section III, Moving Your Money, Liability—Yours and Ours - Authorized & Unauthorized Transactions and Errors, sub-section Business Accounts, the second bullet point under Your Liability for Business Accounts, shall be amended by replacing the second sentence with the following: “Since we condition access upon entry of valid Login Credentials, we will accept instructions for enrollment in new products and services, payments and transfers or other transactions from any person using valid Login Credentials." 4.Within Section V, Products and Services: Opening and/or Applying for Products and Services and Self-Service Transactions, a new bullet point will be added at the end: o“For Business Accounts, you agree and understand that you, Company Representative or any individual with whom you have shared Login Credentials, may apply and enroll in new Products and Services if eligible." 5.Within Section X, General Terms (THE FINE PRINT), the bullet point titled “Other Agreements” is amended by deleting the existing last sentence and replacing with the following new language “…In addition to the above, terms of any other agreement with us related to the services available and/or access or used by you within the Online Services apply.” |
